Acquisition of Hawko Lighting Group
FOS Lighting Pty Ltd is pleased announce the acquisition of Hawko Lighting.
Hawko Lighting based on the Sunshine Coast Queensland has been trading over 30 years and manufactures an extensive range of LED linear lighting.
The acquisition of Hawko expands FOS’s market share in linear lighting and increases the production capacity of the group.
Hawko will continue trading as a stand alone brand with all existing arrangements to stay in place. FOS Lighting Pty Ltd is a fully owned subsidiary of ASX listed FOS Capital Ltd. FOS has operations in Australia and New Zealand with 64 employees and a manufacturing facilities in Queensland.

FOS WINS $1.1M VEKTA CUSTOMISED LIGHTING ORDERS
FOS Capital Ltd (ASX:FOS) is pleased to announce it has received orders valued at over $1.1 million to supply its VEKTA linear lighting products and associated items.
VEKTA is a fully customised product line to meet architectural intent. It is a diverse family of linear lights encompassing 22 different profiles designed and built for purpose. VEKTA ranges from micro profiles, large pendants and recessed fittings. They are customised to best suit the architectural vision including finishes, optics, colour temperature, mounting and power outputs.
FOS introduced VEKTA to its Brisbane factory in late 2019 following the acquisition of Frend Lighting. VEKTA has become our leading product range having grown 70% over the last 12 months and further validates our ongoing commitment to manufacturing in Australia.

AWARDED ART GALLERY NSW CONTRACT
FOS Capital Ltd (ASX:FOS) is pleased to announce it has been awarded the contract to supply its Zero Framing Projector to the Art Gallery of NSW. The contract value of $520,000 will be supplied over the coming months.
FOS, in conjunction with exclusive distribution partner Forma Lighting, developed the new ‘Zero Framing Projector’ specifically for use in art galleries and museums.
We are pleased to have been successful with this contract, competing against many established, quality luminaires in the market. We expect this to be one of many orders for this unique product and are looking forward to working closely with the gallery.

ACQUISITION OF ECOPOINT LED LIGHTING NZ
FOS Capital Ltd ASX:FOS via its subsidiary FOS Lighting Pty Ltd is pleased to announce it has entered into a binding agreement to acquire 100% of the shares in Ecopoint Ltd a New Zealand based commercial lighting company. The transaction is expected to complete within 2 weeks.

Ecopoint Overview
Ecopoint based in Wellington New Zealand is an LED lighting specialist that was established in 2009. The company has 11 employees and services the commercial lighting market with representation in Wellington, Aukland and the South Island. Ecopoint has developed its own range of LED lighting products and goes to market by designing and specifying its products with electrical engineers, architects, and end user clients.
Strategic Rationale for the Acquisition
This acquisition creates a solid base for FOS to expand its New Zealand operations. We believe we can rapidly grow the business using FOS’s extensive industry experience and the introduction of FOS’s 14 exclusive product ranges to the NZ market. Ecopoint will also benefit from having access to the FOS Brisbane based manufacturing facility providing custom product with shorter lead times.
FOS will also market the Ecopoint range in Australia via its extensive distribution network.
The acquisition of Ecopoint is the first since FOS’s ASX listing in June 2021 and delivers on the company’s stated growth by acquisition strategy. We look forward to working with the Ecopoint team to grow and expand the business whilst we seek out further acquisition opportunities in the sector.

Financial Review Article
FOS Capital Ltd (ASX:FOS) makes the following statement in relation to a column item in today’s Australian Financial Review linking FOS to the sale of the Gerard Lighting Group-owned Pierlite Lighting.
FOS Capital has clearly stated its business plan in its prospectus dated 7 May 2021 that it intends to pursue acquisitions in the lighting industry. FOS is actively working on a number of potential acquisitions but can advise that none have progressed to a stage that warrant any disclosure.
The article in today’s Australian Financial Review is based on speculation and FOS will advise the market should the situation change.

FOS & JSB MERGE OPERATIONS

On 1st February 2021 FOS Lighting Pty Ltd completed the 100% acquisition of JSB Lighting. In order to simplify operations, we have now merged the JSB business into FOS and will trade under a single company structure.
Baker & McAuliffe Holdings Pty Ltd T/A JSB Lighting ABN: 15 059 756 811 will cease trading. The combined business will now trade as FOS Lighting Pty Ltd ABN: 76 072 502 311 and all JSB orders have been transferred to FOS. COMPANY UPDATE
FOS Capital Ltd (ASX:FOS) is pleased to provide the following update, after our ASX listing on 7 June 2021, having completed our initial public offering (IPO), that raised $3 million.
Highlights of FY21
• Sales increased 47%, to $8.1 million
• Profit before tax (excluding IPO costs) approximately $1 million
• Order book increased 164%, to $3.8 million
• Active quotes increased 147%, to $42million
• Employee numbers rose 92%, to 50, including five new senior sales executives
• Completed the JSB restructure, and its integration into FOS
• Reduced the JSB cost base by $2.2 million
• Cash position at 30 June was $3 million
• Appointed the exclusive distributor of Pixon Technology X series LED Display screens
Snapshot
Our second year has been both exciting and productive with the acquisition of JSB Lighting and our listing on the Australian Securities Exchange (ASX) in June 2021. FOS has now created a national business, with 50 staff and 14 product ranges, three of which are Australian manufactured in our Brisbane facility. Sales have increased from $4.2M (FY19) to $5.5M (FY20) and $8.1M (FY21). The company’s profit before tax will be approximately $1 million (excluding IPO costs), a figure that includes
the contribution of JSB from 1 February, when FOS took full ownership. Our order book is at a record high, with current orders on hand of $3.8 million, which represents a 164% increase from the same time last year. With a strong debt-free balance sheet, the building blocks are now in place to scale the business to the next level. The final results are subject to audit.

IPO
The company undertook an IPO to list on the ASX, that raised $3 million at 25 cents per share. The offer was well-supported resulting in early closure and the scale-back of oversubscriptions. We welcomed more than 400 new shareholders, who have joined us on this exciting growth journey. Given the demand shown through the capital raising we were surprised and disappointed to see the share price trade below the 25c issue price. We can assure shareholders that business outlook is positive and we will be fighting to build value over the coming period. The funds raised will be used to grow both
organically and by acquisition.
JSB Lighting
The second half of the year has seen the completion of the integration of JSB Lighting into FOS as we now operate as one entity resulting in additional efficiencies. Total annualised costs that have been removed now exceed $2.2 million. The restructuring has included moving the JSB Brisbane factory into the FOS manufacturing facility in Brisbane, the relocation of another three sales offices and warehouses, the merging and upgrading of IT systems, internalizing the marketing functions,
rationalizing product ranges, and reducing staff numbers.
Pixon
We are very pleased to announce FOS has been appointed the exclusive distributor of Pixon’s Premium X series LED display screens. Pixon is well-known for its broad range of high-quality LED screens for use in both indoor and outdoor signage applications. The addition of this product range adds a new vertical and expands FOS’s product offering beyond LED lighting; the Pixon range is well-suited to the project specification market in which FOS specialises.
Outlook
With an experienced management team in place and an increasing pipeline of projects the company is in a strong position to leverage-off increased spending from government infrastructure projects and a generally strong commercial construction industry.
With our ASX listing bedded-down, JSB fully integrated and our financial metrics all heading in the right direction, we believe that FOS is very well-placed to build on all of these strengths. We intend to acquire more businesses that can deliver synergies to our company, and that can, in turn, deliver EPS growth and compelling returns to FOS shareholders.

IPO OFFER CLOSED EARLY
FOS Capital Ltd is pleased to announce it has closed the oversubscribed IPO early after receiving an overwhelming response to the offer.
The company has raised the maximum $3 million at the offer price of 25 cents per share and will now move to allocate and issue the shares.
As detailed in the prospectus ASX-listed HGL Ltd had committed to investing $500,000 in the IPO as part of FOS’ acquisition of JSB Lighting from it in November last year, but because of demand, FOS Capital have chosen not to take it.

FOS ACQUIRES 50% OF JSB LIGHTING
FOS Lighting is pleased to announce that is has entered into a binding agreement to acquire a 50% shareholding in JSB Lighting from its current owner ASX listed HGL Limited.
JSB Lighting has been operating over 50 years and is a supplier of commercial and architectural lighting products with operations in Sydney, Brisbane, Adelaide, Perth and New Zealand and has 27 employees.
JSB manufactures its Intralux brand in Brisbane and distributes the IILUS, Planet, Sammode, lucent, luceplan, Red Square, TAL, Secure Light, LJUS Design and Legacy Sports Lighting Brands.
The involvement of FOS Lighting an Australian manufacturer of commercial and industrial lighting products, with manufacturing facilities in Brisbane and sales offices in Melbourne and Adelaide, headed by experienced lighting executives Con Scrinis and Michael Koutsakis, is expected to provide material synergies and scale that will enable the combined business to grow aggressively with an enhanced product range using the extensive knowledge and resources available to it.
FOS Lighting will have an option to move to 100% ownership of the JSB business.

FOS has a new FREND
FOS Lighting is pleased to announce the acquisition of Frend Lighting Industries Pty Ltd from the Gerard Lighting Group. Frend Lighting established in 1996 is an Australian lighting manufacturer based in Brisbane which manufactures bespoke commercial lighting solutions. The business has 23 employees.
Frend products, including the Megabay range meet the installation needs for commercial buildings, industrial warehouses, hospitals, education facilities and health/aged care. Frend has extensive in-house manufacturing capability which includes sheet metal, aluminium and plastics fabrication as well as powder coat painting, final assembly and
testing.
The FOS team has over 35 year’s experience in the commercial lighting manufacturing industry having founded Moonlighting in 1991 before selling the business to Gerard Lighting in 2004. FOS intends to expand the Frend product range whilst taking the business national over the coming months.
FOS Lighting currently distributes the Forma Lighting and Survivor Lighting ranges and we look forward to working with all stakeholders as we expand the business.
